Terms of service
Effective October 24, 2026 · Last updated October 24, 2026
1. Who we are and this agreement
These terms are an agreement between you and FAMVII LLC, an Ohio limited liability company that runs Staffly as a brand of VNCNT Labs ("we", "us"). They apply when you use hirestaffly.com, request a free audit or subscribe to a paid plan. Our privacy policy explains how we handle information.
Staffly is for businesses. You must be at least 18, and if you sign up for a shop or company, you confirm you're allowed to agree to these terms for it.
2. What Staffly is
Staffly gives online shops AI staff ("staff"): software assistants that help with routine work such as listing upkeep, bookkeeping summaries, social post drafts and review reply drafts. Staffly is not a staffing, recruiting or employment agency, and our staff are not people or employees.
3. The free audit
The free audit is a short report based only on public information about your shop. We label what we couldn't verify. It's free, you don't have to buy anything, and it's offered as is, for your information. Some of it may be out of date or wrong, so please check anything before you act on it.
4. You approve what customers see
Our staff prepare drafts and suggestions. Anything your customers or the public can see, such as review replies, messages, social posts, listing changes or prices, goes out only after you approve it. Our staff don't issue refunds, spend your money or change prices without your OK. You're responsible for what you approve and for your shop, products and dealings with your customers.
Etsy listings. On Etsy our staff help you write listings. You review and approve each listing one at a time. By default you post it yourself. If you've chosen hands-on help (section 6), we post only the listings you've approved. We won't bulk-publish listings, write the instructions in a pattern, recipe or other guide you sell, create or alter your product photos with AI, or message your buyers to ask for reviews. If an item was made with AI, Etsy requires you to say so in the listing. Meeting that rule and Etsy's other rules is up to you, and we'll point out anything we notice.
5. AI can be wrong, and no promised results
AI output can contain mistakes, so please read drafts before you approve them. We work to keep our staff accurate, but we can't promise every output is correct or complete.
We don't promise any particular result, such as more sales, better search rankings, more or better reviews, higher profit or a set number of hours saved. Results depend on your shop, your market and many things outside our control.
Our staff organize information. They don't give tax, legal, accounting or financial advice, and the Bookkeeper doesn't file taxes. Check important decisions with a qualified professional.
6. Access to your store
Shopify. We connect only through official methods Shopify offers, such as a staff or collaborator account or an approved app connection, and we never ask for your personal password. We use the access only for the staff you've hired and only as much as each role needs. You can remove it at any time from your store settings.
Etsy, by default. We don't need access to your Etsy shop. You send us the files you download from Etsy, such as orders, listings and payments, and any review or message you want help with. You post approved drafts yourself.
Etsy hands-on help, only if you choose it. You can give us access to your Etsy shop so we can make approved changes for you. We do this only after you agree to it in writing, and that agreement says:
- Etsy discourages sharing logins, and its terms restrict bots and automated tools. Etsy could limit or close your shop because of it. You understand this and you carry that risk.
- Where Etsy allows it, we recommend adding one of our team as a separate team member with their own login instead of sharing yours. If you do share a login, we keep it in a password manager and use it only for your shop.
- We act inside your shop only on a task you've said yes to.
- We never bulk-publish listings, create AI product photos, write the instructions in patterns or recipes you sell, or message buyers to ask for reviews.
- You can remove our access at any time, for example by removing the team member or changing your password, and we stop as soon as you tell us.
You confirm you have the right to give us that access, and you're responsible for following the rules of the platforms you sell on. If a platform changes its rules or tools, some features may stop working, and we'll tell you if that happens.
7. Plans, billing and taxes
Paid plans are Solo Hire (1 staff), Dynamic Duo (2 staff) and Full Crew (4 staff), at the prices shown on our site when you subscribe. They're sold through Polar Software, Inc. ("Polar"), which acts as merchant of record. Polar takes your payment through its payment processor, works out and collects any sales tax or VAT, and sends your receipts. Polar's buyer terms apply to the purchase itself. These terms apply to the Staffly service.
Plans are billed monthly in advance and renew automatically each month until you cancel. Prices are in US dollars. We'll give you at least 30 days' notice by email before your price changes, and you can cancel before the new price applies.
8. Cancelling and refunds
You can cancel anytime, with no long contract and no cancellation fee. Use the Polar customer portal linked in your receipt, or email hello@hirestaffly.com and we'll cancel it for you. Cancelling stops future charges. Your staff keep working until the end of the month you've already paid for, unless you ask us to stop sooner.
14-day refund on your first month. If you're a new shop and Staffly isn't right for you, email hello@hirestaffly.com within 14 days of your first payment and we'll refund that first month in full through Polar. Your subscription ends when we refund it.
After that, Polar's standard rule applies: charges for a month that has already started aren't refunded, except where the law requires a refund or where we didn't provide the service. If you think you were charged by mistake, email us and we'll sort it out with Polar.
9. Founder pricing and testimonials
Our first 10 shops can get a founder price: Solo Hire at $75 a month instead of $99, or Dynamic Duo at $150 a month instead of $199. Full Crew has no founder price.
Your founder price stays for as long as your subscription stays active without a gap. If you cancel and come back later, the standard price applies. In return, we ask for an honest testimonial within 60 days of starting. If we don't get one by then, we'll remind you, and if it still doesn't come, your plan moves to the standard price after 30 days' written notice by email.
- Honest, in your own words. We want your real opinion, good or bad. The founder price depends only on giving a testimonial, never on what it says. We'll never write a testimonial for you or ask you to say something you don't believe.
- Your permission. We publish a testimonial only after you've seen the final wording and said yes. With that yes, you allow us to show your quote, first name, shop name and a link to your shop on our website, in our emails and on our social accounts. We'll use a photo or logo only if you send one. We may shorten a quote but won't change its meaning.
- We say you got a discount. Wherever we publish a founder testimonial, we'll make clear that the shop received a founder discount, as U.S. Federal Trade Commission rules on endorsements require.
- Not platform reviews. The testimonial is for Staffly's own channels. We'll never ask you to post a review on Etsy, the Shopify App Store, Google or any other review site in exchange for the discount.
- You can change your mind. Email us to withdraw permission and we'll remove your testimonial from places we control within 10 business days. We can't pull back copies others have already shared.
10. Your data and our work
You own your shop, your store data and the content you give us. You let us use it only to provide the service to you.
Once you've approved and paid for them, the drafts and documents our staff make for you, such as listing copy, replies, posts and reports, are yours to use however you like. We keep ownership of Staffly itself: our software, prompts, templates, methods and brand. If you send us ideas or feedback, we may use them to improve Staffly without owing you anything.
11. Confidentiality
We treat your non-public store data, sales figures and customer information as confidential. We use it only to provide the service, share it only with the service providers listed in our privacy policy, and disclose it otherwise only if the law requires. When your subscription ends we delete or return it as the privacy policy describes.
12. Acceptable use
Don't use Staffly to:
- send spam or mislead customers, including fake or paid-for reviews and fake urgency;
- sell illegal products or break any law or platform rule;
- copy other people's content, photos or trademarks without permission;
- harass anyone, or post hateful or abusive content;
- attack, overload or try to get around the security of our site or service, or misuse the audit form.
We won't draft or publish content we believe breaks these rules.
13. Etsy, Shopify and other platforms
Staffly is an independent business. We're not affiliated with, endorsed by or sponsored by Etsy, Inc., Shopify Inc., X Corp. or any other platform we mention. Etsy, Shopify, X and other names are trademarks of their owners, and we use them only to describe where our customers sell.
Those platforms have their own terms, which apply to your shop. We're not responsible for their outages, fees, policy changes or decisions about your account.
14. Suspension and ending service
You can end your subscription at any time as described in section 8. We may suspend or end the service if you seriously break these terms, don't pay, or use Staffly in a way that creates legal risk or breaks a platform's rules. We'll tell you first and give you a chance to fix the problem when that's reasonable. If we end the service for a reason that isn't your fault, we'll stop future charges.
When the service ends, we remove our access to your store and handle your data as our privacy policy says. Sections 9 through 13 and 15 through 20 keep applying after the service ends.
15. Disclaimers
Apart from what these terms promise, Staffly and the free audit are provided "as is" and "as available". To the extent the law allows, we disclaim all other warranties, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We don't promise the service will be uninterrupted or error free.
16. Limits on liability
To the extent the law allows, our total liability for all claims relating to Staffly is limited to the amount you paid for Staffly in the 12 months before the claim, or $100 if you haven't paid us anything. We aren't liable for indirect or consequential losses, such as lost profits, lost sales, lost data or business interruption. These limits don't apply to fraud, willful misconduct, or anything else the law doesn't allow us to limit.
17. Indemnity
If someone makes a claim against us because of your products, the content you gave us or approved, or your breach of these terms, the law or a platform's rules, you'll cover our reasonable costs of that claim, including reasonable legal fees. We'll tell you promptly about any such claim and let you help defend it.
18. Disputes and governing law
If something goes wrong, email us first. Most problems can be fixed quickly, and we'll try in good faith for 30 days before either of us goes to court.
These terms are governed by the laws of the State of Ohio, USA, without regard to its conflict of law rules. Any court case will be brought in the state courts of Delaware County, Ohio, or the federal courts for the Southern District of Ohio, and both of us agree to those courts. Either of us may instead bring a claim in small claims court where it qualifies.
19. Changes to these terms
We may update these terms as Staffly changes. We'll post the new version here with a new date. For important changes we'll email customers at least 30 days before they take effect. If you keep using Staffly after that, the new terms apply. If you don't agree, you can cancel before they take effect.
20. General
These terms, the privacy policy and anything we agree with you in writing are the whole agreement between us about Staffly. If part of them can't be enforced, the rest still applies. If we don't enforce something right away, we haven't given up the right to. You may not transfer these terms without our written OK. We may transfer them as part of a sale or reorganization of our business. Neither of us is responsible for delays caused by events outside our reasonable control. You agree that we can send notices and receipts by email.
